Acceptance of Terms

Your access to and use of aminopoly.com, including any purchase of products, constitutes your unconditional acceptance of these Terms and Conditions, our Privacy Policy, and any additional policies, guidelines, or rules posted on the site. These Terms apply to all visitors, users, browsers, and customers.

If you are purchasing on behalf of a company, institution, or organization, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.

Amino Poly LLC reserves the right to refuse service, terminate accounts, cancel orders, and refuse access to any person for any reason at any time, at our sole discretion, without notice or liability.

Research Use Only

By completing a purchase, you make the following binding representations and warranties to Amino Poly LLC:

• You are purchasing exclusively for legitimate, lawful in vitro laboratory and scientific research purposes
• You will not, under any circumstances, use, administer, ingest, inject, inhale, apply topically, or otherwise introduce any product purchased from us into any human or animal body
• You will not sell, transfer, or provide our products to any individual or entity for the purpose of human or animal consumption
• You are a qualified researcher, licensed professional, or authorized individual with a legitimate, documented scientific research purpose
• You will handle, store, reconstitute (if applicable), use, and dispose of all compounds strictly in accordance with all applicable federal, state, and local laws, regulations, and safety guidelines
• You understand that misuse of these compounds may be illegal, dangerous, and potentially fatal
• You have independently verified that your purchase, possession, and intended use complies with all laws in your jurisdiction

These representations are a material condition of sale. Any breach of these representations immediately voids any warranty, protection, or recourse available to you under these Terms and releases Amino Poly LLC from all liability arising from such breach.

Eligibility & Representations

To purchase from Amino Poly LLC, you represent and warrant at the time of each purchase that you:

• Are at least 21 years of age
• Are a qualified researcher, licensed professional, or otherwise authorized individual with a legitimate scientific research purpose
• Have the legal capacity and authority to enter into a binding contract under applicable law
• Are located in a jurisdiction where the purchase, possession, and use of research chemicals of this nature is legal
• Are not purchasing on behalf of any person who does not meet these eligibility requirements
• Are not on any government prohibited party list or subject to sanctions that would prohibit this transaction
• Have not misrepresented your identity, credentials, location, or intended use

Amino Poly LLC reserves the right to verify eligibility, request documentation, and cancel any order where eligibility cannot be confirmed. Providing false information to circumvent eligibility requirements is a material breach of these Terms and may result in legal action.

Product Disclaimer

All products sold by Amino Poly LLC are research chemicals intended exclusively for controlled in vitro scientific investigation. The following disclaimers apply unconditionally to all products sold on this site:

• Products have not been evaluated, reviewed, or approved by the U.S. Food and Drug Administration (FDA)
• Products are not medicines, pharmaceuticals, drugs, dietary supplements, nutraceuticals, or therapeutic agents of any kind
• Products are not intended to diagnose, treat, cure, mitigate, or prevent any disease, disorder, or medical condition in humans or animals
• Product descriptions, specifications, and information provided on this site are for scientific identification and research reference purposes only and do not constitute medical, clinical, or therapeutic claims
• Certificates of Analysis (CoAs) reflect compound quality at the time of third-party testing and do not constitute a guarantee of performance, efficacy, or suitability for any specific research application
• Amino Poly LLC makes no representations regarding the legal status of any compound in any jurisdiction outside the United States

You are solely and exclusively responsible for evaluating the appropriateness, legality, and safety of any compound for your specific research application and jurisdiction.

Orders & Payment

By placing an order, you agree to pay the full amount displayed at checkout, including all applicable taxes, fees, and shipping charges. The following terms apply to all orders:

• We accept Visa, Mastercard, American Express, and Discover processed through our PCI-compliant, SSL-encrypted payment gateway
• Payment is authorized and processed at the time of order placement
• We do not store raw credit card data on our servers at any time
• Orders may be modified or cancelled within 1 hour of placement — after this window, orders enter processing and cannot be altered or cancelled
• Amino Poly LLC reserves the right to cancel any order at any time for any reason, including but not limited to suspected fraud, payment failure, eligibility concerns, inventory issues, or compliance concerns
• In the event of a Company-initiated cancellation, a full refund will be issued to the original payment method within 5–10 business days
• All prices are listed in U.S. Dollars and are subject to change without notice. The price confirmed at checkout is the binding price for that transaction
• Submission of an order constitutes an offer to purchase. A binding contract is formed only upon our acceptance and confirmation of your order
• We reserve the right to limit order quantities per customer or household at our sole discretion

Shipping Policy

We currently ship within the contiguous United States only. International shipping is not available. The following terms govern all shipments:

• Orders placed before 2:00 PM Mountain Standard Time (MST) on business days are processed and shipped the same day
• Orders placed after 2:00 PM MST or on non-business days ship the following business day
• Temperature-sensitive compounds are shipped with appropriate cold-chain packaging including insulated materials and ice packs at no additional cost
• All orders ship in plain, unmarked packaging with no external branding or product identification
• Tracking information is provided via email upon shipment
• Title and risk of loss transfer to you upon delivery of the package to the carrier
• Amino Poly LLC is not liable for delays, losses, or damages caused by shipping carriers, weather events, natural disasters, customs, or any circumstance beyond our reasonable control
• Amino Poly LLC is not responsible for failed or mis-delivered shipments resulting from an incorrect or incomplete shipping address provided by the customer. Please verify your address before completing your order
• We do not ship to P.O. boxes, freight forwarders, or addresses where delivery cannot be confirmed

Returns & Refunds

Exceptions are considered exclusively in the following circumstances:

• The order arrived visibly damaged or physically compromised in transit
• You received a product that does not match the product ordered (incorrect item)
• The product contains a verified manufacturing or quality defect confirmed by our team

To request a resolution under these limited exceptions, you must:

• Contact support@aminopoly.com within 3 calendar days of the confirmed delivery date
• Include your full order number and clear photographic or video evidence of the issue
• Retain the original product and packaging until the claim is resolved
• Cooperate with our investigation, which may include additional documentation requests

Upon verification of a valid claim at our sole discretion, we will offer a replacement shipment or store credit. Cash refunds are issued at our discretion only. Amino Poly LLC reserves the right to deny any request that does not meet these criteria or where we have reason to believe the claim is fraudulent or the product was misused.

Chargebacks or payment disputes initiated without first contacting us as required above constitute a breach of these Terms and may result in account termination and recovery of costs.

Shipment Protection

Every order placed through aminopoly.com includes complimentary shipment protection covering loss, theft, or damage confirmed to have occurred in transit. To file a valid claim:

• Contact support@aminopoly.com within 7 calendar days of the expected delivery date
• Provide your order number and any available documentation, including carrier communications
• Allow our team to investigate and verify the claim with the carrier

Shipment protection does not cover packages marked as delivered by the carrier to the confirmed address, packages undeliverable due to an incorrect address provided by the customer, delays without confirmed loss or damage, or any situation arising from customer error. Upon verification of a valid claim, we will reship the order at no additional cost.

Intellectual Property

All content on aminopoly.com — including but not limited to text, copy, graphics, logos, product images, product names, page layouts, design elements, code, and trade dress — is the exclusive property of Amino Poly LLC and is protected by U.S. and international intellectual property laws, including copyright, trademark, and trade dress protections.

• You may not reproduce, copy, distribute, modify, publish, transmit, sell, license, create derivative works from, or otherwise exploit any content from this site without our express prior written permission
• You may not use our name, brand, logos, trademarks, or product images in any manner that suggests endorsement, affiliation, or sponsorship without our written consent
• Unauthorized use of our intellectual property constitutes infringement and may subject you to civil and criminal liability
• Any feedback, suggestions, or ideas you voluntarily submit to us may be used by Amino Poly LLC without obligation, compensation, or restriction

Prohibited Uses

In addition to other restrictions in these Terms, you expressly agree that you will not:

• Purchase products for human or animal consumption or administer them to any person or animal
• Resell, redistribute, or transfer products to any third party for the purpose of human or animal use
• Misrepresent your identity, professional credentials, research purpose, or jurisdiction
• Use this site or our products to violate any applicable federal, state, local, or international law or regulation
• Engage in any fraudulent, deceptive, abusive, or harassing conduct toward Amino Poly LLC or its personnel
• Attempt to circumvent our age verification, eligibility requirements, or security systems
• Initiate unauthorized chargebacks, payment disputes, or fraudulent payment claims
• Scrape, crawl, harvest, or otherwise extract data from our site without written permission
• Attempt to gain unauthorized access to our systems, servers, or databases
• Use our products in any application involving human subjects, clinical trials, or therapeutic purposes
• Make any public representations, claims, or statements about our products that imply human health benefits or therapeutic use

Violation of any prohibited use may result in immediate account termination, cancellation of all pending orders without refund, and civil or criminal legal action at our discretion.

Assumption of Risk

You expressly acknowledge and agree that the purchase, handling, storage, and use of research chemicals carries inherent risks, including but not limited to risks of improper handling, chemical exposure, degradation, and harm resulting from misuse.

YOU VOLUNTARILY AND KNOWINGLY ASSUME ALL RISKS ASSOCIATED WITH YOUR PURCHASE AND USE OF ANY PRODUCT FROM AMINO POLY LLC, INCLUDING ALL RISKS OF PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER HARM THAT MAY RESULT FROM IMPROPER HANDLING, STORAGE, OR USE OF OUR COMPOUNDS.

This assumption of risk applies regardless of whether such risks arise from the negligence of Amino Poly LLC, its employees, agents, or affiliates, to the maximum extent permitted by applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless Amino Poly LLC, its members, managers, officers, employees, agents, contractors, affiliates, successors, and assigns (collectively, "Indemnified Parties") from and against any and all third-party claims, demands, suits, proceedings, losses, liabilities, damages, judgments, penalties, fines, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your breach of any representation, warranty, or obligation under these Terms
• Your use or misuse of any product purchased from Amino Poly LLC
• Your violation of any applicable law, regulation, or third-party right
• Any misrepresentation you made in connection with your purchase, eligibility, or intended use
• Any claim by any third party arising from your possession, use, distribution, or administration of our products
• Any personal injury, death, or property damage caused by your handling or misuse of our products

Amino Poly LLC reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate fully. This indemnification obligation survives the termination of these Terms indefinitely.

Limitation of Liability

Specific circumstances where our liability is excluded include without limitation:

• Any injury, illness, adverse reaction, or death resulting from any use of our products, including human or animal consumption
• Any damages arising from misuse, improper handling, improper storage, or improper reconstitution of compounds
• Any reliance on product descriptions, CoAs, or any information provided on this site
• Any shipping delays, carrier errors, lost packages, or delivery failures
• Any unauthorized access to or alteration of your transmissions or data
• Any conduct or content of third parties accessible through our site

WHERE LIABILITY CANNOT BE FULLY EXCLUDED UNDER APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS OR YOUR USE OF THIS SITE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO AMINO POLY LLC FOR THE SPECIFIC PRODUCT(S) GIVING RISE TO THE CLAIM IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE DATE THE CLAIM AROSE.

Nothing in these Terms excludes or limits our liability for fraud, willful misconduct, or death or bodily injury caused by our gross negligence where such exclusion is prohibited by applicable law. Some jurisdictions do not allow certain limitations of liability — in such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Disclaimer of Warranties

THIS SITE AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

Amino Poly LLC expressly disclaims all warranties, including but not limited to:

• Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement
• Any warranty that the site will be uninterrupted, error-free, or free of viruses or harmful components
• Any warranty regarding the accuracy, completeness, or reliability of any content on this site
• Any warranty that our products are suitable for your specific research application
• Any warranty that our products will produce any particular result in any research application

Certificates of Analysis from independent third-party laboratories confirm compound identity and purity at the time of testing and do not constitute any other warranty or guarantee.

Governing Law

These Terms and Conditions and any dispute arising out of or relating to them, your use of this site, or any product purchased from us shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without giving effect to any conflict of law principles that would require the application of the laws of any other jurisdiction.

For any claims not subject to arbitration under Section 16, you irrevocably consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Maricopa County, Arizona, and waive any objection to such jurisdiction or venue on grounds of inconvenience or otherwise.

Dispute Resolution & Arbitration

Informal Resolution First. Before initiating any formal legal proceeding, you agree to contact Amino Poly LLC at support@aminopoly.com and provide written notice of your dispute. The parties agree to negotiate in good faith for a period of thirty (30) days. This informal process is a mandatory prerequisite to arbitration or litigation.

Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms, your use of this site, or any product purchased from us shall be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms. Arbitration shall be conducted in Maricopa County, Arizona, or by telephone/video conference if mutually agreed.

• Arbitration shall be conducted by a single, neutral arbitrator selected in accordance with AAA rules
• The arbitrator shall have authority to award any remedy that a court could award, subject to the limitations in these Terms
• The arbitrator's award shall be final, binding, and non-appealable except on grounds permitted by the Federal Arbitration Act (FAA)
• Each party shall bear its own attorneys' fees and costs unless the arbitrator determines otherwise under applicable law
• The filing fees shall be split equally between the parties unless the arbitrator determines otherwise

Class Action Waiver. YOU AND AMINO POLY LLC EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction without waiving the right to arbitrate all other claims. Claims related to intellectual property infringement may be brought in court without first invoking arbitration.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to support@aminopoly.com within thirty (30) days of your first purchase. Opting out does not affect any other provision of these Terms.

Severability & Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect.

No failure or delay by Amino Poly LLC in exercising any right under these Terms shall constitute a waiver of that right. No waiver of any breach of these Terms shall be deemed a continuing waiver of that breach or a waiver of any other breach.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and Amino Poly LLC with respect to your use of this site and your purchase of our products. They supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the subject matter herein.

No oral or written statement, representation, or promise by any Amino Poly LLC employee or agent shall modify these Terms unless made in a written document signed by an authorized officer of Amino Poly LLC.

Changes to Terms

Amino Poly LLC reserves the right to modify, update, or replace these Terms at any time at our sole discretion. When we make material changes, we will update the "Last Updated" date at the top of this page. We may also notify you by email where appropriate.

YOUR CONTINUED USE OF THIS SITE OR PLACEMENT OF AN ORDER AFTER THE POSTING OF UPDATED TERMS CONSTITUTES YOUR BINDING ACCEPTANCE OF THOSE CHANGES. If you do not agree to the updated Terms, you must immediately cease using this site and placing orders.
